1. Acceptance of Terms

By creating an account, accessing, or using AudioScriptPro ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Beta Service Disclaimer

IMPORTANT: AUDIOSCRIPTPRO IS PROVIDED AS A BETA SERVICE ON AN EXPERIMENTAL BASIS.

  • Features may be added, modified, or removed at any time without notice
  • Service may be discontinued entirely at our sole discretion
  • No guarantee of data preservation or availability during beta period
  • Pricing and terms subject to change without notice
  • Service provided "AS IS" with no guarantees of functionality

3. Eligibility

You must be at least 13 years old to use this Service. By using AudioScriptPro, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.

4. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • One person or entity may not maintain multiple free accounts

5. Service Description

AudioScriptPro provides:

  • AI-powered audio transcription using Whisper and other models
  • Translation services to 98+ languages
  • SRT subtitle editing tools
  • Multiple output formats (SRT, VTT, TXT, TSV, JSON)
  • Diff view for comparing original and edited transcripts
  • Cloud storage for your audio files and transcripts

6. Subscription Plans and Payment

6.1 Available Plans:

  • Free Tier: 30 minutes/month, basic features
  • Basic Unlimited: Unlimited transcription, core features
  • Professional: Advanced features including SRT editor
  • Business: Priority processing and premium support

6.2 Billing Terms:

  • Subscriptions are billed monthly or annually in advance
  • Payments are processed securely through Stripe
  • Prices are in USD and subject to change with 30 days notice
  • No refunds for partial months or unused minutes
  • Subscriptions auto-renew unless cancelled

7. Acceptable Use Policy

You agree NOT to:

  • Upload content you don't have rights to process
  • Use the Service for any illegal purposes
  • Upload malicious files or attempt to compromise the Service
  • Attempt to probe, scan, or test vulnerabilities of the Service
  • Attempt to gain unauthorized access to any systems or networks
  • Reverse engineer, decompile, or attempt to extract our AI models or source code
  • Resell, sublicense, or redistribute the Service without authorization
  • Create multiple accounts to circumvent usage limits
  • Use automated tools to access the Service beyond intended API limits
  • Violate any applicable laws or regulations
  • Upload content that promotes hate, violence, discrimination, or harassment
  • Upload content containing personally identifiable information without consent
  • Use the Service to generate misleading or deceptive content
  • Interfere with or disrupt the Service or servers
  • Impose an unreasonable load on our infrastructure

8. Content Ownership and Licensing

8.1 Your Content:

  • You retain all rights to your original audio files
  • You retain rights to the transcripts and translations we generate
  • You grant us a limited license to process your content for providing the Service
  • We may use anonymized usage data to improve our Service

8.2 Our Content:

  • AudioScriptPro owns all rights to the Service, software, and branding
  • You may not copy, modify, or create derivative works of our Service

9. Privacy and Data Processing

Your use of AudioScriptPro is also governed by our Privacy Policy. By using the Service, you consent to:

  • Storage of your files on AWS S3
  • Processing by third-party AI providers (Anthropic, OpenAI, Venice AI)
  • Temporary caching for performance optimization

10. Service Limitations

  • Maximum file size: 2GB per upload
  • Supported formats: MP3, WAV, M4A, MP4, WEBM, and others
  • Processing time varies based on file size and queue
  • Accuracy depends on audio quality and language
  • Some features may be limited during beta

11. Intellectual Property Claims

If you believe content on AudioScriptPro infringes your copyright, please contact us at [email protected] with:

  • Description of the copyrighted work
  • Location of the allegedly infringing content
  • Your contact information
  • A statement of good faith belief
  • A statement of accuracy under penalty of perjury

12. AI-Specific Disclaimers and Limitations

You acknowledge and agree that:

  • AI-generated transcriptions and translations may contain errors, inaccuracies, or biases
  • AI outputs should be reviewed and verified before use in critical applications
  • We are not responsible for decisions made based on AI-generated content
  • AI models may be updated or changed without notice, affecting output quality
  • Transcription accuracy varies based on audio quality, accents, background noise, and technical terminology
  • Translation quality depends on language pairs and context
  • We do not guarantee AI outputs will be free from offensive or inappropriate content
  • AI-generated content should not be relied upon for legal, medical, or safety-critical purposes without human review

13. Security and Your Responsibilities

While we implement reasonable security measures, you acknowledge that:

  • No internet transmission is completely secure
  • You are responsible for maintaining the confidentiality of your account credentials
  • You should use strong, unique passwords and enable two-factor authentication when available
  • You must immediately notify us of any security breach or unauthorized access
  • You are responsible for any activity under your account, whether authorized or not
  • We are not liable for losses due to unauthorized account access resulting from your failure to secure credentials

14. Service Modifications and Interruptions

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service at any time
  • Change features, functionality, or APIs without notice
  • Perform maintenance that may temporarily interrupt service
  • Implement usage limits or throttling to ensure service quality
  • Remove features or impose additional restrictions
  • Change system requirements or supported formats

We will endeavor to provide reasonable notice of significant changes when possible, but are not obligated to do so.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • Transcriptions will be 100% accurate
  • The Service will meet your specific requirements
  • Any errors in the Service will be corrected

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIOSCRIPTPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST ONE MONTH.

17. Indemnification

You agree to indemnify, defend, and hold harmless AudioScriptPro, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

18. Account Termination

18.1 By You:

  • You may cancel your subscription at any time
  • You may request account deletion by contacting support
  • Cancellation takes effect at the end of the current billing period

18.2 By Us:

We may suspend or terminate your account immediately, with or without notice, for:

  • Violation of these Terms or any applicable laws
  • Non-payment of fees
  • Suspected fraudulent, abusive, or illegal activity
  • Creating multiple accounts to bypass restrictions
  • Excessive use that impacts service quality for other users
  • Extended inactivity (over 12 months)
  • At our sole discretion during the beta period

18.3 Effect of Termination:

  • Access to the Service will cease immediately
  • We may delete your data after 30 days
  • No refunds will be provided for remaining subscription periods
  • You remain liable for any outstanding fees
  • Provisions that should survive termination will remain in effect

19. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or Service notification. Continued use after changes constitutes acceptance of the modified Terms.

20. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other unforeseeable cause that is beyond our reasonable control, provided that we promptly notify you and use best efforts to remedy the situation.

21. Arbitration Agreement

PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

21.1 Agreement to Arbitrate

You and AudioScriptPro agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction.

21.2 Arbitration Rules

  • Arbitration shall be conducted by a single arbitrator under the Consumer Arbitration Rules of the American Arbitration Association (AAA)
  • Arbitration shall be held in Austin, Texas, or via video conference
  • The arbitrator's decision shall be final and binding
  • Each party shall bear its own costs and attorneys' fees
  • The party initiating arbitration shall pay all filing fees

21.3 Class Action Waiver

YOU AND AUDIOSCRIPTPRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate multiple persons' claims or preside over any form of representative or class proceeding.

21.4 Exceptions

Nothing in this arbitration agreement shall preclude either party from seeking relief in small claims court for disputes within that court's jurisdiction.

21.5 30-Day Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to [email protected] within 30 days of first using the Service.

22. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. To the extent arbitration does not apply, any disputes shall be resolved in the state or federal courts located in Austin, Texas, and you consent to personal jurisdiction in such courts.

23. Survival

The following provisions shall survive any termination or expiration of these Terms: Content Ownership and Licensing, Disclaimer of Warranties, Limitation of Liability, Indemnification, Arbitration Agreement, Governing Law, and this Survival clause.

24. General Provisions

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and AudioScriptPro
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect
  • No Waiver: Our failure to enforce any right or provision is not a waiver of that right
  • Assignment: You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
  • Electronic Communications: You consent to receive communications from us electronically and agree that all agreements, notices, and other communications satisfy any legal requirement for writing
  • Export Compliance: You may not use the Service in violation of U.S. export laws and regulations
